WHEREAS The Bank of Nova Scotia requires The Corporation of the City of Niagara
Falls to execute a Guarantee of the indebtedness and liability of Niagara Falls Hydro
Holding Corporation, to the said bank;
THEREFORE BE IT RESOLVED THAT The Corporation of the City of Niagara Falls
execute, under its corporate seal, a Guarantee in favour of The Bank of Nova Scotia on
the said Bank's regular form, whereby The Corporation of the City of Niagara Falls
guarantees the indebtedness and liability of Niagara Falls Hydro Holding Corporation, to
the said Bank.
